Gizin Membership Service Supplementary Terms

These Supplementary Terms (hereinafter referred to as "these Terms") set forth the terms and conditions for the Gizin Membership Service provided by Gizin Inc. (hereinafter referred to as "the Company"). These Terms constitute supplementary terms pursuant to Article 1, Paragraph 2 of the Company's Terms of Service (hereinafter referred to as "the General Terms") and shall apply together with the General Terms as a single agreement. Matters not stipulated in these Terms shall be governed by the General Terms. In the event of any conflict between these Terms and the General Terms, these Terms shall prevail.

Article 1 (Definition of Services)

  1. The Company provides the following services (collectively referred to as "the Membership Service"):
    • Gizin Newsletter: A subscription service consisting of (i) the weekly newsletter distributed by the Company (covering AI-related news, expert analysis, practical insights from Gizinka (AI practitioners), and the like; hereinafter, the "Gizin Newsletter Bulletin"), and (ii) the weekly report authored by the Company's representative (hereinafter, the "GIZIN Weekly Report").
    • Gizin Membership: A service that includes the Gizin Newsletter content, plus General Consultation via Slack (defined in Paragraph 5), Migration Design for one business operation per month (defined in Article 1-2), provision of the Gizin Method (templates and frameworks), participation in the member community, the right to be listed on gizin.ai, the economic-activity features on gizin.ai (defined in Article 15), and the maintenance of GAIA (defined in Article 6-3, limited to registered users meeting the eligibility requirements).
    • GIZIN Session: An online consultation service with the Company's representative, provided on a ticket basis (not included in the monthly Membership Service fee; separate purchase required).
  2. Gizin Membership includes the content of the Gizin Newsletter.
  3. GIZIN Sessions may only be purchased by registered users of the Gizin Membership.
  4. Registration for the Membership Service is limited to one registered user per subscription. Registered users shall not share their account with any third party. If multiple persons wish to use the service, a separate subscription must be entered into for each user.
  5. "General Consultation" under the Gizin Membership means questions and consultations that can be answered through the provision of general knowledge or information and that do not involve the analysis or design of business operations specific to the registered user or the preparation of individualized documents. General Consultation may be used without limitation on the number of inquiries.
  6. Consultations that involve the analysis or design of business operations specific to the registered user, or the preparation of individualized documents, shall be treated as Migration Design (Article 1-2). In the event of any ambiguity regarding the classification between General Consultation and Migration Design, the Company shall make a reasonable determination.

Article 1-2 (Scope of Migration Design Service)

  1. "Migration Design" under the Gizin Membership means a service in which the Company designs one business operation within the registered user's business so that it can be performed by an AI Employee.
  2. The Company shall provide the following deliverables (hereinafter, the "Design Deliverables") for one business operation per month under the Migration Design service:
    • Task Breakdown Sheet: A document that decomposes and organizes the processes, decision criteria, and exception handling of the target business operation.
    • AI Employee Job Description: A document that describes the role definition, procedures, and decision criteria for an AI Employee to perform the target business operation.
    • Implementation Guide: A document that describes the procedures for the registered user or the registered user's designated personnel to introduce an AI Employee using the Design Deliverables.
  3. The Migration Design service is intended to design the target business operation in a form that can be performed by an AI Employee, and does not guarantee:
    • That the AI Employee will fully automate the business operation or achieve any specific outcome;
    • That the Company will directly build or implement an AI Employee in the registered user's environment; or
    • That introduction based on the Design Deliverables will produce the results expected by the registered user.
  4. The following services are not included in the monthly fee for the Membership Service and shall be provided, at the registered user's request, under a separate estimate:
    • Implementation of AI Employees based on the Design Deliverables
    • Construction of business automation systems
    • Data entry and migration
    • Operation and management of AI Employees
    • Migration Design for multiple business operations within the same month
    • On-demand or on-site support
  5. The selection of the target business operation and the scope of Migration Design shall be determined through consultation between the Company and the registered user. Questions regarding matters within the design scope that arise during the course of Migration Design shall be treated as General Consultation (Article 1, Paragraph 5) and shall be included in the monthly fee.
  6. The Migration Design service is provided on a monthly basis. Even where the target business operation has not been determined within the applicable month or the Design Deliverables have not been delivered, there shall be no carryover to subsequent months. Unconsumed months shall lapse and shall not be eligible for a refund.

Article 2 (Fees and Payment)

  1. The fees for the Membership Service are as follows:

  2. Payment shall be made by credit card through Stripe.
  3. The billing date for monthly subscriptions shall be the same day as the initial payment date, with automatic charges on the same day each subsequent month.
  4. The Company may change the fees upon prior notice to registered users. The revised fees shall take effect from the first billing date following such notice.

Article 3 (Cancellation and Plan Changes)

  1. Registered users may cancel their monthly subscription at any time through the method designated by the Company.
  2. Cancellation shall take effect at the end of the billing period in which the cancellation request is made. Even if cancellation is requested mid-period, the service shall remain available until the end of that period.
  3. No prorated refunds shall be provided for cancellations made during a billing period.
  4. Upon cancellation of Gizin Membership, the user shall be automatically downgraded to the Gizin Newsletter after the end of the current billing period. Users who do not wish to continue with the Gizin Newsletter must separately cancel the Gizin Newsletter.
  5. Upgrades from the Gizin Newsletter to Gizin Membership shall take effect immediately upon request, with fees prorated accordingly.

Article 4 (GIZIN Session)

  1. Each GIZIN Session shall consist of a 30-minute online consultation.
  2. GIZIN Session tickets shall be valid for six (6) months from the date of purchase. Unused tickets that have exceeded the expiration date shall be forfeited and are not eligible for refund.
  3. Reservations for GIZIN Sessions shall be made through the method designated by the Company. The Company may set a maximum number of available slots per month, with reservations accepted on a first-come, first-served basis.
  4. The cancellation policy is as follows:
    • Cancellation by the registered user: If cancelled by 11:59 PM on the day before the scheduled session, the ticket shall be returned to unused status. Cancellations made on the day of the session shall be deemed as one ticket consumed.
    • Cancellation by the Company: If the Company cancels a reservation, the ticket shall be returned to unused status.
    • No-show: If the registered user does not join within 10 minutes of the scheduled time, one ticket shall be deemed consumed.
  5. No cash or monetary refunds shall be provided for GIZIN Session tickets.

Article 5 (Refunds)

  1. No prorated refunds shall be provided for cancellation of monthly subscriptions during a billing period.
  2. No refunds shall be provided for GIZIN Session tickets after purchase. However, unused tickets within the validity period may continue to be used.
  3. In the event of double billing or similar errors caused by payment system failures or other causes attributable to the Company, the Company shall promptly process a refund.

Article 6 (Nature and Disclaimer of AI Employee Responses)

  1. Consultation support on Slack under the Gizin Membership is provided by the Company's AI systems (hereinafter referred to as "AI Employees").
  2. Responses by AI Employees are intended to provide general reference information and do not constitute professional advice in the fields of law, tax, accounting, management, technology, or any other specialized domain.
  3. Registered users who act based on AI Employee responses do so at their own responsibility and judgment, and shall consult with appropriate professionals as necessary.
  4. The Company makes no warranties regarding the accuracy, completeness, currency, usefulness, or fitness for a particular purpose of AI Employee responses.
  5. The Company shall not be liable for any damages incurred by registered users arising from AI Employee responses. However, this shall not apply in cases of intentional misconduct or gross negligence on the part of the Company.

Article 7 (LLM Usage Environment and Cost Responsibility)

  1. When registered users operate AI employee teams based on the Gizin Method, the LLM (Large Language Model) services required for such operations (including but not limited to Anthropic's Claude) shall be contracted directly by the registered user with the respective LLM service provider, and the costs shall be borne by the registered user.
  2. The Company does not act as an intermediary, reseller, or agent for LLM services.
  3. Registered users are responsible for complying with the terms of service, usage policies (including Acceptable Use Policies), and other contractual terms established by the relevant LLM service provider.
  4. The Company shall not be liable for any matters arising from service disruptions, specification changes, price revisions, discontinuation, or other causes attributable to LLM service providers.

Article 8 (Responsibility for Registered User's AI Employees)

  1. Registered users shall bear full responsibility for the actions, outputs, and consequences of AI agents constructed and operated using the Gizin Method (hereinafter referred to as "the Registered User's AI Employees").
  2. If the Registered User's AI Employees cause damage to any third party, the registered user shall resolve and settle such damage at their own expense and responsibility, and shall indemnify the Company for any damages the Company may incur.
  3. The Company makes no warranties regarding the quality, accuracy, safety, or legality of the Registered User's AI Employees.

Article 9 (Intellectual Property Rights and License)

  1. All copyrights and other intellectual property rights in the Gizin Method, templates, frameworks, documents, and other content provided through the Membership Service (hereinafter referred to as "Provided Content") belong to the Company.
  2. The Company grants registered users a license to use the Provided Content under the following conditions, limited to the period of active Gizin Membership registration:
    • Use shall be limited to the registered user's own business operations (including operation of their own AI employee teams).
    • The Provided Content, in whole or in part, shall not be redistributed, resold, sublicensed, or otherwise transferred to third parties.
    • The Provided Content shall not be used to provide paid training, seminars, consulting, or similar services to third parties.
    • Copyright notices on the Provided Content shall not be removed or altered.
  3. The license granted under the preceding paragraph shall terminate upon cancellation or deregistration from Gizin Membership. The registered user shall promptly cease use of the Provided Content after license termination. However, this shall not apply to original works independently created by the registered user with reference to the Provided Content during the license period.

Article 10 (Use of Brand and Names)

  1. During the period of active Gizin Membership registration, registered users may use the following names and designations in accordance with guidelines separately established by the Company:
    • The title of "Gizin Member"
    • The designation "Gizinka" in connection with Gizin Card listings on gizin.ai
  2. The following acts are prohibited:
    • Using the Company's trade name "GIZIN" or "Gizin" or the Company's trademarks as the registered user's own trade name, service name, domain name, or the like.
    • Making representations that could create the misimpression of a relationship with the Company such as agency, franchise, or group company affiliation.
    • Using the Company's logos, trademarks, or service names (including GAIA, GATE, and others) in advertisements, promotional materials, websites, or the like without the prior written consent of the Company.
  3. The brand usage rights set forth in the preceding paragraphs shall terminate upon cancellation or deregistration from Gizin Membership. The registered user shall promptly cease use of the Company's names and trademarks after termination.

Article 11 (Data Handling)

  1. Ownership and intellectual property rights in business data provided or shared by the registered user in connection with the Membership Service (including consultation content on Slack, listing information, and the like; hereinafter referred to as "User Data") shall belong to the registered user.
  2. The Company may use User Data only for the following purposes:
    • Provision and operation of the Membership Service
    • Analysis for maintaining and improving service quality (data shall be aggregated and anonymized before use)
    • Case study introductions with the individual consent of the registered user
  3. The Company shall not provide User Data to third parties for purposes other than those set forth in the preceding paragraph, except as required by law.
  4. After cancellation or deregistration from Gizin Membership, the Company shall delete User Data within a reasonable period. However, this shall not apply to data required to be retained by law or data that has been aggregated and anonymized.

Article 12 (Use of Slack)

  1. Consultation support and community features under the Gizin Membership are provided through the Slack service operated by Slack Technologies, LLC (hereinafter referred to as "Slack").
  2. Registered users shall comply with the terms of service and policies established by Slack when using Slack.
  3. The Company shall not be liable in the event that all or part of the Membership Service becomes unavailable due to service disruptions, specification changes, discontinuation, or other causes attributable to Slack. However, the Company shall make reasonable efforts to provide alternative means.
  4. The Company may use Slack usage data (including question and response content) for the purpose of maintaining and improving service quality. However, the Company shall not disclose such data to third parties in a manner that identifies individual registered users.

Article 13 (Listing on gizin.ai)

  1. Registered users of the Gizin Membership have the right to register a Gizin Card and publish case studies (hereinafter referred to as "Listings") on the Company's website "gizin.ai."
  2. Listing content shall be provided by the registered user, and the Company reserves the right to review such content. The Company may refuse or remove Listings that it determines to fall under any of the following:
    • Content containing false or misleading information
    • Content that may infringe upon the rights of third parties
    • Content that violates laws or public order and morals
    • Content the Company otherwise deems inappropriate
  3. Upon cancellation or deregistration from Gizin Membership, Listings shall be terminated, and the Company shall remove the listing content within a reasonable period.
  4. The registered user grants the Company permission to use listing content for the purpose of operating and promoting gizin.ai.

Article 14 (Confidentiality)

  1. Registered users shall treat the following information obtained through the Membership Service (hereinafter referred to as "Confidential Information") as confidential and shall not disclose or leak it to third parties without the prior written consent of the Company:
    • Information relating to other registered users (including business content, consultation content, contact information, and the like)
    • Know-how and unpublished information of the Company shared on Slack
    • Information provided during GIZIN Sessions
  2. The provisions of the preceding paragraph shall not apply to information that falls under any of the following:
    • Information that was already publicly known at the time of disclosure
    • Information that became publicly known after disclosure through no fault of the registered user
    • Information that the registered user legitimately possessed prior to disclosure
    • Information obtained from a third party with legitimate authority without a confidentiality obligation
  3. The confidentiality obligations under this Article shall survive for one (1) year after cancellation or deregistration from Gizin Membership.
